Software License Agreement (Limited Use License)

This Software License Agreement (“Agreement”) governs the use of the software package (“Software”) provided by NatGold Digital Ltd. (“Licensor”).

1. Grant of License
Licensor grants you (“Licensee”) a limited, non-exclusive, non-transferable, revocable license to:
use the Software solely for the purpose of integrating with or consuming the NatGold Athena API, including in commercial applications or services.

2. Restrictions
Licensee shall not:
distribute, sublicense, sell, lease, or otherwise make the Software available to any third party;
modify, decompile, disassemble, reverse engineer, or create derivative works from the Software;
use the Software for any purpose other than interacting with the NatGold Athena API.

3. Ownership
The Software and all related intellectual property rights remain the exclusive property of Licensor. No ownership rights are transferred under this Agreement.

4. Disclaimer of Warranty
The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to fitness for a particular purpose or non-infringement.

5. Limitation of Liability
To the maximum extent permitted by law, Licensor shall not be liable for any damages arising from the use or inability to use the Software.

6. Termination
This license terminates automatically if Licensee breaches any term of this Agreement. Upon termination, Licensee must cease all use of the Software and destroy all copies.

7. Governing Law
This Agreement is governed by and construed in accordance with the laws of the United States of America.
